The Annual Meeting of Stockholders of Advanced Machine Vision
Corporation ("AMV" or the "Company"), a California corporation,
will be held at the offices of the Company, 2067 Commerce Drive,
Medford, Oregon, 97504 on May 7, 1998 at 2:00 p.m., Pacific
Daylight Time, for the following purposes:
1. To elect a Board of Directors;
2. To transact such other business as may properly come
before the meeting or any adjournment thereof.
Your attention is directed to the accompanying proxy statement.
Only stockholders of record at the close of business on April
3, 1998, will be entitled to notice of and to vote at the meeting
and any adjournment thereof.
All stockholders are requested to sign, date and complete the
enclosed proxy and return it promptly in the accompanying
postage-prepaid, pre-addressed envelope whether or not they
expect to attend the meeting to ensure that their shares
will be represented. Any stockholder giving a proxy has the
right to revoke it at any time before it is voted.
