This Prospectus relates to the shares of Common Stock of Netsmart Technologies, Inc. (the "Company") issuable upon exercise of 896,875 Series A Redeemable Common Stock Purchase Warrant (the "Warrants") which are currently outstanding. Each Warrant entitles the holder to purchase one share of Common Stock at $4.50 per share (subject to adjustment) during the two-year period commencing August 13, 1997. The Warrants are redeemable by the Company, with the
consent of Monroe Parker Securities, Inc., the underwriter of the Company's initial public offering (the "Underwriter"), for $.05 per Warrant, on not more than 60 nor less than 30 days' written notice if the closing bid price per share of Common Stock is at least $9.00 (subject to adjustment) for at least 20 consecutive trading days ending within ten days of the date the Warrants are called for redemption.
