Mark & Roland,

I've been a stockholder since over a dollar. Needless to say that I'm
pretty disappointed so far. I can see that most of the investors
in this stock were looking for quick profits and were probably betting
on "Pinnocchio" to be the next "Toy Story". An unrealistic view in my
opinion, though I don't believe it was shared by Lieberbaum brokers
who I'm sure lead their clients to believe in order to sell the
secondary. I on the hand saw passed Pinocchio to the buseness that
was in the pipeline then and is now coming to fruition and would like
to see (along with everyone else) something more than a pitence reach
the bottom line.

Which Brings me to the Proxy.

I don't have a problem increasing the # of shares authorized as long
as they will be used to bargain aquisitions, buyouts, etc. I do have
a problem if the increase in shares will be used to fascilitate a
reverse split. I am very concerned about this.

The co. history has always been a bit flamboyant on the compensation
side, but then so is the business they're in. You gotta walk the Walk and
talk the Talk. The image is just as important. However I believe that the
officers are well compensated at their current salaries and should only
be increased through stock option bonuses relating to performance.

I don't have a problem with raising the comp plan shares to 7.5 mil.
however I don't feel that it is neccessary to give them a free hand
to raise that figure w/o shareholder approval.

If you can give me a reason to change my mind please respond.
