2,561,409 SHARES OF COMMON STOCK

All of the shares of Common Stock (the "Security Holders' Shares"), par value $.10 per share, of ACTV, Inc., a Delaware corporation (the "Company"), offered hereby are being offered by the selling security holders named herein under the caption "Selling Security Holders" (the "Selling Security Holders"). Such shares may be sold by the Selling Security Holders who have acquired or will acquire such shares from the Company previously or will acquire such shares upon the exercise of currently exercisable options and warrants. The Company will not receive any of the proceeds from sales of Selling Security Holders' Shares, but will receive the exercise price upon the exercise of the options or warrants described above. See "SELLING SECURITY HOLDERS" and "PLAN OF DISTRIBUTION."

The Company has agreed with the Selling Security Holders to register the Selling Security Holders' Shares offered hereby. The Company has also agreed to pay certain fees and expenses incident to such registration.
