The purchase price for Xyplex is the $35 mm cash or whatever the amount was paid in cash. The amount of the initial writeoff will be equal to the purchase price less the estimated value of the assets purchased including the goodwill.

The warrants at $35 per share mean that Xyplex would pay MRVC to buy shares at the price-so this amount is not added to the purchase price. Not sure in this case if some value is required to be allocated to the warrant.

The goodwill, if it its to be written off, by definition will be on the balance sheet in the initial amount (and not part of the initial writeoff). The goodwill balance sheet number will be reduced each quarter by the amount of the goodwill amortization.
