you're right. MSFT wouldn't just let SUN have Windows code anyway.

And there's one more crucial point, probably the most crucial. True, Sun couldn't do the port without Microsoft's advice and consent. But even if it could, a port by itself isn't an end point, it's just a beginning. Example: ports to both Alpha and PowerPC were done with Microsoft's "full cooperation" only to die. (Remember the PowerPC version of NT? It did exist about 18 months ago). If the speed of the chip alone determined the success of a platform, the Alpha version of NT would be kicking butt right now instead of doing essentially nothing. The issue is not performance, performance, performance; it's applications, applications, applications. If Microsoft couldn't even help its own chip "partners" Motorola and DEC get Windows applications over to their ports in significant numbers, imagine how well Sun would do on its own. Microsoft never wanted those "partners" to succeed anyway...partnering with Microsoft is like partnering with a rattlesnake.
