The explanations I have heard re: ABT is simply this; ACT made an offer to the Board which was not acted upon in time, and the offer was about to expire. Sullivan stated that he gave ABT advance notice of their intention to withdraw the offer, and gave them a chance to comment, which they chose not to. Then came the string of denials from ABT managment. As it turns out, it is a good thing that the offer wasn't accepted because ABT has problems; (although they do have one helluva backlog).
