Mr. Turtleman:

Let me begin by saying my name is David D. Hagen, President & CEO of D. H. Marketing & Consulting, Inc., and that I can be found at the Company's offices, 30 Keystone Street, Hawley, PA 18428, any business day from 8:00 AM to 5:00 PM. It is important that I identify myself, because, as you will see in this posting, I am a legitimate and responsible business man running an honest Company. I stand behind my actions and the actions of my company 100%.

As I have mentioned, I am the President and CEO of the Company, but I am posting this response personally, since your most recent accusations are of a personal nature.

Regarding your accusations of my "long criminal record" and "trouble with investment business(es)", of which you have no specific information because you conveniently "did not have the time to more thoroughly research" it. The truth of the matter is I did, nine years age, get convicted for the possession of a controlled substance. I completed five years of probation and have been clean and sober since the day of the arrest. This information was made available to the SEC in the Company's earliest filing.

Your accusations that I am a drug dealer are completely unfounded, without merit and slanderous. Moreover, these accusation insult all those in drug and alcohol recovery.

There are NO other arrests and NO "problems" with investment firms. Any mention of any of the sort is pure fantasy.

In the course of business I expect both criticism and praise. It comes with the territory. That is why I have not previously responded to your ridiculous postings. I expect criticism. However, these most recent charges are personal in nature and slanderous. Surely you are aware of the liabilities you have incurred in making these ridiculous accusations.

Regarding your other claims of D. H. Marketing being a scam, I have little response other than to say you are sadly incorrect. For me to explain the depths of your inaccuracies would only prolong your lies. D.H. Marketing, at year-end had four subsidiaries, the financial consolidation of which is extremely complicated and apparently beyond your comprehension, as are apparently ALL the Company's Financial Statements.

What is being over-looked in your accusations of the Company is that independent accounting firms of which D.H. Marketing has no influence have prepared these Financial Statements. If you truly believe the "books are cooked", then you are accusing these accounting firms of activities which would be illegal. Our accountants have been Niessen, Dunlap & Pritchard, P.C. of Colmar, PA until December 15, 1997 and Crouch, Beirwolf and Chisholm of Salt Lake City, UT since that time. They are each outstanding accounting firms with impeccable reputations.

D.H. Marketing & Consulting, Inc. is in the Direct Marketing business as it is related to tangible asset collectibles. These operations are managed through the Company's subsidiary, Universal Network of America, Inc. and that company's subsidiary Universal Network, Inc. of Sarasota, Florida. In addition to tangible asset collectibles, Universal has recently introduced the Universal Collection, a collection of health and beauty products for men and women.

The Company and its subsidiaries are employers, taxpayers and respected members of the business community. The Company's business plan takes advantage of real opportunities in this growing industry. These companies have experienced management.

I can only suggest that any interested investor or shareholder should contact the Company regarding these accusations made by Mr. Turtleman, and suggest that you commit yourself toward researching the facts of the matter, which Mr. Turtleman has obviously refused.

I welcome the inquiry of all shareholders and interested investors. There is a lot more that could be added in response to false accusations. I encourage any of you who have questions regarding any response made here on this site to call me at my office.
