I'll read mine tomorrow, but my understanding is that these rights plans force the party attempting to "takeover" to negotiate with the BOD instead of going to the shareholders. The belief is that the board would negotiate best price based on value of the company.In that perspective, it supports shareholders best interest of getting the best price. TI2
