Ostrach's leaving was signaled in the annual meeting notice dated October 10, 1996 for the annual meeting scheduled for November 14. He was not included as a nominee for the Board of Directors, even though he was a member of the current board. Additionally, I noted that on June 22, 1996, he and the Company entered into an agreement which provided that if his employment was terminated for any reason, he would continute to get his salary and insurance for 12 months or until he secured full time employment. Seems like the die was cast back in June. Doesn't seem to me that his leaving should reduce the value of the company by approximately 20%.
