New Agreement With Minera Humaya Pending

April 27, 1998

Gordon Muir, CEO and Chairman wishes to announce that Panther Resources is in final stage negotiations with Mr. Guinea, President of Minera Humaya to re-structure the current purchase agreement. Mr. Guinea came to Vancouver on April 20, 1998 to negotiate a new contract that is more appropriate for both parties and he will remain in Vancouver until the final contract is completed. Both Panther Resources and Mr. Guinea, on behalf of Minera Humaya, are working together to finalize the new agreement as quickly as possible. The details of the new agreement will be announced once it has been signed and accepted by both parties.

The Company also wishes to announce that Behre Dolbear & Company, Inc. Of Denver, Colorado were hired to prepare an independent report on the La Verde property. Mr. Baltazar Solano, Managing Director of the Guadalajara office of Behre Dolbear is preparing the report and has considerable experience in the Mexican mining and exploration arena. It is expected this report will be available for dissemination shortly.

Panther Resources is an international mining and exploration company, whose principal mining activities are focussed on acquisitions of producing silver mines.
