Regulation S has been revised, effective April 27, 1998. The 40-day resale waiting period has been replaced by, effectively, a one-year holding period. Effective January 1, 1999, the 15-day 8-K reporting requirement will be replaced by 10Q/10K reporting. Significantly, the new rules also apply to convertible securities. There are now restrictions on the use of promissory notes (i.e., not paying for the securities until they are resold) and hedging (short sales in the U.S. simultaneous with purchase).
