Technically, if Ms. Brooks sold ANY SHARES prior to December 1, 1996...

she is in violation of the contract. I'm not familiar with the 'lockup' either and don't know the extent of inforcement. I think the option of paying $1,000,000 or 2,650,000 in shares is interesting.

It appears that many of these large S-8's have a lockup restriction, that is good if it really means anything. On the other hand, if hardly any of the shares have been sold to market, does that mean that many of these are NOT OUTSTANDING YET? Have these 39+ million been included in the total 65.7 million shares?

A current list of shareholders will be MOST VALUABLE! I wonder if Pat can deliver tommorrow and how current it is?

What about the possibility that SEXI sold stock (some of the 65.7 million) to raise cash to pay off these individuals? Don't these ladies sound more like girlfriends than promoters?

Huttoe would have been smart to sell stock at $3-4 to pay off these individuals. But why give someone $1,000,000 to close a buyout? Smells very fishy.

Thanks for the info.

Aloha
