The buyback is independent of the employee plan, CPQ can buy back at any time. The goal as I understand it was to maintain approximately the existing number of shares while issuing shares to cover the DEC purchase to avoid dilution. Seems pretty convoluted to me, why not just pay cash for DEC, but what do I know?
