Incompetent management is not a factor in considering anti-trust issues. If Novell cannot compete effeftively when acquiring an asset below book and market value, it is not MSFT's fault and the DOJ should not rely on such factors in their adjudication.

If Corel could do it (acquire Wordperfect below book/market cost and succesfully challenge MSFT), then any body else with decent mgmt. could do it as well.
