I certainly don't intend to be unfair to anybody - and I appreciate your effort to clarify exactly who said what. I simply want to get the facts on the new debt instrument , and it doesn't seem as though AMZN is in any hurry to inform the general marketplace about the details, This makes me very suspicious.
I wish Amazon were less concerned about their PR and spin control , and more concerned about informing shareholders and prospective investors ( I use the term loosely) about a major refinancing that may have a highly negative feature embedded in it. That would be fair.
I'm not sure their attorney was being totally forthcoming , either. While it may be that the prospectus , as a legal document intended to present the terms of a 144A deal (open only to institutional investors)
cannot be issued to the public at large , the TERMS of the new debt could DEFINITELY be disclosed in the 8K or a press release. There is certainly no restriction on that - after all , if they tell the truth , and inform their shareholders of what's going on , how could the SEC object?
I would love to see what the real story is......
