LAS VEGAS--(BUSINESS WIRE)--April 1, 1998--The board of directors of Touch Tone
America Inc. (Nasdaq:TONE - news; Nasdaq:TONEW - news) was informed by ORIX Global
Communications Inc. that it has decided to cautiously proceed with the acquisition by Touch Tone
providing that resolution of the following issues occur, namely: (1) the claim of $1.5 million from
WorldCom as punitive damages for termination of various services; and (2) officer lawsuits from
Michael Canney and James Simms demanding punitive damages against Touch Tone.

Touch Tone agreed to address these matters without delay and provide accurate disclosure to
ORIX Global Communications regarding these claims.

The board of directors of Touch Tone indicated that it would support claims initiated by the
shareholders against Canney and Simms. In addition, the members of the board of directors
discussed the particulars of the criminal charge against Kerry Rogers and have indicated their
support and concurrence with his defense.
