Group West Systems Ltd GPW Shares issued 5322125 1998-04-29 close $7.2 Thursday Apr 30 1998 The VSE has accepted for filing a share purchase agreement dated Feb. 27, 1998 between the company, Axis Management Ltd. (Bill Ste. Marie), T. Cooney & Associates Ltd. (Thomas Cooney), and Dehn Loder (collectively the vendors), whereby the company can acquire all of the shares of Group West Systems (Manitoba) Ltd. (Manitoba) from the vendors. Total consideration is approximately $2,000,000 consisting of 487,807 shares of the company to be reserved for issuance upon the achievement of Manitoba of earning net income before tax of a minimum $2,250,000 over the next three years. The company will issue that number of shares equal in value (deemed price of $4.10 per share) to 88.89 per cent of the cumulative net income of Manitoba. To the extent that pre-tax income of Manitoba is negative in a subsequent year, the vendors will not be obligated to re-transfer shares previously issued under the above described earn-out formula.
