Jo,

I have basically the same question as Aloha Mike. Back in December there was an announcement that had the following as the first paragraph. It gave me and others the impression that USDI had an exclusive right to sell Iridium service in certain commercial sectors. The words "appointing it as the North American distributor" seem fairly unambiguous.

CALABASAS, Calif., Dec. 9 /PRNewswire/ -- U.S. Digital Communications, Inc. (OTC Bulletin Board: USDI) announced today that its subsidiary, Skysite Communications Corporation has entered into an agreement with Iridium North America, appointing it as the North American distributor for the new IRIDIUM (Nasdaq: IRIDF) satellite-based global wireless communications network. The agreement calls for Skysite to offer IRIDIUM products and services to target industries including transportation, exploration, media and government.

On the other hand, the April 14 release (excerpt below) announcing participation in the beta test seems more open to interpretation...it doesn't appear to convey any exclusive rights.

"Skysite Communications recently agreed to be an Iridium North America
distribution partner. As a distribution partner, Skysite will offer Iridium products and services to its customers in their target industries which include transportation exploration, media and government."

A clear clarification of the relationship between Iridium and USDI would be much appreciated.

Thanks,

Phil
