CVIA holders voted (in a way) on the issue. Last December, a proxy was signed and faxed to CVIA giving Jack authority to do whatever was needed to get CVIA back on its feet.

Milk or Wayne can provide you with the link to the actual letter. It was a fast way for Jack to get authorization to move forward with the merger. Back then CVIA was not worth anything so it was a no-lose situation.

Today, CVIA is debt free and has $500,000 in the bank and is a very attractive shell. That $500k could well buy back the Reg S shares plus some at today's prices...
