I am going to direct this to Jack Arnold, and its just my opinion.

Jack it seems to me that WOTD has put you in and us in a hard position, it seems as though you have tried to maintain a balance and tried to do what is right for all the parties involved.

I know you have put alot of time, work and effort into this merger, but clearly it isnt working. I do not know all the details of the deal, but I am forming the opinion, that its time to tell these WOTD guys to put up or shut up, give them a drop dead date, like Wed. If they cant come up with a deal, let them walk.

Its been 5 or 6 months of this and thats more time than fortune 500 companies put into a merger.

Let them walk, kill the reverse split, we have an increased float, and $500,000 cash in the bank, we would come out ahead. As far as I know you or any of the share holders do not owe these guys anything, so just show them to the door. CVIA would be better off.

I wouldnt object to you taking a little of that Reg S money and about a 7 "business" trip to the destination of your choice, come back and lets go back to the drawing board, and find another merger candidate.

Sincerely

KAA
