An important item to note is that the purchase was of shares available from corporate incentive plans AND authorized by the Board as part of his compensation package for being the CEO and turning AXC around. The purchase price was the current market price of that date and the interest rate was the federal rate of that same date.

It would seem to me that all of these factors would cause this purchase to not fall into the category of insider trading. Both Bramson and the Board are too sharp to have done something which was not by the book.
