The AMZN paper won't be registered with the SEC either. It will be privately placed or sold off-shore (Bahamas, someone suggested). If someone wants to buy it without a rating, that is their prerogative. I assume if it were to be sold in the junk bond market, it would have to be registered and a rating obtained (or else it would not be saleable).
