Bob,

1. I know and agree that unregistered debt can be sold here through a private placement. If TIAA/CREF were to touch this with a ten foot pole I would scream!

2. Did you notice that the WSJ article I posted refered to the note as a $275MM debt obligation, when in fact the face amount -- as you noted -- could approach $1/2 Billion.

3. The press-release turned into an 8-k did not say "off-shore." It said:

THE SENIOR DISCOUNT NOTES BEING OFFERED WILL NOT BE, AND HAVE NOT BEEN,
REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED, AND MAY NOT BE OFFERED
OR SOLD IN THE UNITED STATES ABSENT REGISTRATION OR AN APPLICABLE EXEMPTION FROM
REGISTRATION REQUIREMENTS.
