It is not really a board of directors but a board of advisors. The main difference is that they do not have to be elected but are appointed. There probably is some sort of nominal honorarium but I suspect their main motives are helping the Company develop its relationships within the business and technical communities. I think it is a good idea and it shows you that some fairly important people are willing to be formally associated with ESSI.
