Zeev,

A couple of thoughts from a new shareholder. Got caught at the top, but the company interests me. I did call the company and had them send me the annual report, also spent some time reviewing the Edgar filings.

1. Duke power contract is very substancial. It is set to expire Nov. 98.
Have not found out yet if any part will be continuing. It will probably have a large negative impact on sales.

2. There is a very large product base, that is serviced and represented by the company. This I view as very positive for sustaining sales and future growth.

3. Internet site for sales and service. A positive for existing and new account information and sales.

4. Cash flow has remained fairly constant over the last couple of years. There is also cash in the bank of about .09. Credit line at Texas Commerce Bank of 3MM. With 400k used. Also loans due to insiders of 73,543 as of 5/31/97.

5. Total assets 2/98 9.354MM. Shareholders equity 6.181MM.

6. Did notice a gap up in amount of inventories and reduction in trade recievables.

7. Stock price hasn't varied much over the last 2 years. Trending between 7/16-1/3/4. Short interest is small. Delisting from NASDAQ possibly impacting share price here. Also options give to insiders are in small amounts(outstanding @116k as of 5/97 exercise price .50).
Warrents were also issued to the insiders in consideration of their line of credit. Amount issued 500k,exercise $1,expire 2/01.

8. I am going to find out about insider ownership of the company to determine trading float and will be requesting item 12 from the proxy to determine status.

9. Based on the companies cash flow from operations would the valuation be correct here? The company could certainly improve its stock price via a buyback in the open market. The credit line is in place to do so if so desired. Also could the companies market niche be of interest to a larger player in the same field?

I am going to find out a lot more of what this company is about in the next couple of weeks. I do find it to be very underfollowed and unknown. However the possible returns could be good from this level IMO, over the longer term horizen now that the mo money is gone. May have to wait a great while, but will post any new DD.

Good Trading

Dave
