The facts we know are:

1. Good amount of insider selling and registered
"intentions" to sell. This usually preceeds an
acquisition because their will be limitations on
who can sell what during the time the acquisition
is announced until it is complete.

2. One can argue there would be money "left on
the table" but the acquisition price is usually
the last detail to be worked out. The management
can't know for sure that selling in Feb or May
will be at a price above or below the acquisition
price. So they hedge... take some money off the
table while risking leaving some money on.

3. Whatever happened to AWRE's ramp up in its
field sales force? I can't see any benefit from
this move in Q1 in their sales/earnings figures.
Just increased cost. Seems like a mistake in
timing to me...perhaps part of what Bender did
not deliver on.

4. AWRE's business strategy is schizophrenic. They
can't decide whether they are a technology company
or a products company. I think Bender wanted them
to be like ASND but there's no market for XDSL
access products yet. I think Tzannes believes they
are a technology company and will pursue licensing
revenues and OEM's who'll build products around
AWRE's technology. The latter strategy will almost
certainly result in an acquisition for a technology
as potentially huge as this.

5. I'll be sure to visit them at Interop this week
in Las Vegas.
