Proxy Proposal 1 - The election of the nominees for Directors 2 - The appointment of Deloitte & Touche, Chartered Accountants, as auditors of the company and the authorization of the directors to fix their renumeration 3 - Approval of special resolution authorizing the continuance of the company under the business corporations act(N.B.) 4 - Conditional upon the continuance of the company under the business corporation act( N.B.), approval of By-Law #2, which repeals and replaces By-Law#1 effective upon the continuance of the company. 5 - Conformation of the ammendment to By-Lae #1 of the company as set forth more particularly in the information circular dated Apr.15 1998 accompanying the notice of meeting to which this proxy relates 6 - The implemetation of an additional Stock Option plan pursuant to which 500,000 common shares of the company are propsed to be reserved for issuance to eligible participants as set forth more particularly inthe information circular----- note such other business as may properly come before the meeting or any adjustment thereof
