Kingpin, regarding the S-4, I think this paragraph explains it's importance;

The New Notes will be entitled to the benefits of the Indentures under
which the Old Notes were issued (the 'Indentures'). The form of the New Notes will be identical to the form of the Old Notes, except that the New Notes will have been registered under the Securities Act and, therefore, will not bear legends restricting the transfer thereof.

You'd think we'd have some lawyers around here we could count on explaining all this junk to us so we wouldn't have to muddle through it. :-)
