SIMers were dissatisfied with Softbank Holding Company. They became further dissatisfied when Zulu took over. At the time, SIM was composed of two CEOs who merged their companies to form SIM. When SIM came into Zulu, there was Meathem. When finally Lair came into the picture there was a situation where you had four with CEO-level experience. The new NETZ got a haircut. That's all. And probably those loyal to the respective departing CEOs left as well; some happy, some not.

You call this jumping ship?

Well what do you think Lair's first piece of advise might have been? I theorize: Too many CEO-types, change the corporate structure. I bet he was helpful providing in-depth consulting experience into both ESVS and Zulu.

And now? A merger, respective component reorganization, and Mr. Lair--not Mr. Hayton--as chaiman of the ESVS board. Of course, ESVS will absorb Zulu to satisfy each other's Nasdaq positioning. What's wrong with this picture?

Oh. We haven't yet talked about the technology enough, have we?
