Dow Jones Newswires -- May 5, 1998 Level 3 Commun To Convert Class R Stk Into Common Stk OMAHA, Neb. (Dow Jones)--Level 3 Communications Inc.'s (LVLT) board will force conversion of all class R convertible shares into common stock, effective May 15. In a press release Tuesday, Level 3 said the conversion formula is equal to $25, divided by the average of the midpoints between the high and low sales prices for Level 3 common stock on each of the 15 trading days during the period beginning April 9 and ending April 30. That average for that period was $64.28125. Each holder of class R stock will get 0.3889 of Level 3 common share for each class R share held. Each holder will receive cash in lieu of any fractional shares resulting from the conversion. Level 3 is a communications and information services company.
