Intel Investor - Regarding DEC, Compaq and Intel

Why doesn't this statement - concerning DEC and the Compaq merger - surprise me?

"When considering the recommendation of the
Digital board of directors, you should be aware
that Digital directors and officers may have
interests in the merger that differ from the
interests of Digital stockholders generally,"
the
company said in a note to stockholders.

In a separate filing Wednesday, Digital said its
CEO, Robert Palmer, will get nearly $6.5 million
in cash if he is let go by Compaq.
Four other
Digital executives would get cash payments
totaling $6.6 million.
