Results of todays conversation with Todd Violet of Investor Relations..

I had a very long conversation with Todd this afternoon. I asked a lot of questions and found him
to be very helpful without resorting to a lot of hype. I took detailed notes of his answers and will
post from my notes. This post will take considerable time and space, so I will break it down into
several posts as the evening progresses.

Capitalization

Common stock authorized.................40,000,000 shares
Common stock issued to date.............25,000,000 shares
Common stock paid for but not
yet issued..............................12,000,000 shares

Todd tells me there is an investor who put $3,000,000 into the
company during March who is supposed to receive 12 MM shares.
this will bring the total issued to 37 million shares.

Preferred shares........................none

Super voting shares.....................26,000,000

These shares are supposed to be for the prevention of hostile
takeovers. The majority of these shares are held by the CEO.
They carry a 10 to 1 voting right.
They have no market value and can only be transferred to the
company.

Warrants................................None All Previous have
expired
Convertible Preferred...................None

Bonds or other convertible debt........None

Debt

Lont term debt.........................None

Short term Debt........................None
