Among other interesting parts, there was this:

"The proposed Recommendation and Disclosure rules would not apply to transactions in securities of banks and insurance companies, and to companies with more than $100 million in assets and $10 million in shareholder equity. Transactions with institutional investors will also be exempt."

If a company had more than $100 million in assets and $10 million in shareholder equity, how would you know, if they weren't required to report? I find that odd.

And transactions with institutional investors are exempt from the (to be phased in) requirement of the market maker(s) to review current financials? So, institutional investors can buy whatever they want - and individual investors can't because they can only buy securities for which mm's have reviewed current financials? Doesn't make sense to me.
