if they both agree to walk away, there are no penalties. If MGI walks away without discreet's consent, mgi has to pay discreet $1 million. There is no cap or collar on the stock price, it's a fixed share ratio.

However, given the execution at discreet and the drastic share price decline, I doubt dslgf would ask mgi to pay up. It would be better for discreet to make it look like a mutual decision.

I show institutional ownership of only 2 million shares (out of 20 million) held, this suggests that the decision will be made completely by insiders.
