Check this out... straight out of the SEC by laws... its called Preemetive Rights (strike?) <g>

Pre-emptive Rights, Corporate share holders have a right to maintain their proportionate share of the ownership of the company.
This means that if the corporation issues new or additional shares of stock, current shareholders MUST BE OFFERED the chance to purchase additional shares of stock, in order to maintain their percentage of equity in the company. This right is offered to current share holders BEFORE they are offered to the general public/ in other words the corporation CAN NOT dilute the holdings of current share holders by issuing additional stock.

CHAPTER AND VERSE STRAIGHT OUT OF THE SEC

I dont recall being offered this right does any one else? THIS MEANS THE 300 to 1 Reverse is no good legally unless we are offered a better DEAL !!!!!!!!!!!!!!!!!!!! Also I am not sure how it links into Reg S deals... but the 2 Reg S deals alone diluted the Dec stock holders equity a minimum of 80%
