***Genesis' Key Business Divisions***

A. Digital Production

Genesis has a state-of-the-art switchable component Digital Editing and Digital Multi-Camera production studio. The studio features 12 Bit digital cameras, a 4:2:2 digital component switcher, digital component beta-cam recorders, and D2 composite digital recorders. Our insert air-conditioned stage features complete digital multi-camera equipment. Genesis' capabilities include complete digital production
and post-production, as well as analog services. This studio enables Genesis to produce film, video, and music projects.

B. Dealer Distributor / Thomson Broadcast Systems

Genesis is a Dealer Distributor for Thomson Broadcast Systems. Thomson is a worldwide organization with subsidiaries in Asia, Europe, and the U.S., as well as distributorships and agents around the world. The company headquarters is located near Paris with two production sites in Brittany (France).

Thomson addresses the digital image chain from end to end: image capture, processing, compression, transmission, and broadcasting. This is an exciting time, not only because of Thomson's strategic commitment to digital technologies, but new applications such as digital television, MPEG2 compression, and multi-service
fiber networks. There is a unique synergy that now exists across Thomson's product and systems divisions, with the worldwide resources of Thomson multi-media; they are the 4th largest consumer electronics group in the world. From creating the next generation of broadcast equipment, to implementing today's most advanced digital solutions, Thomson Broadcast System shares two essential values: a passionate
commitment to what they do, and a vision of the future that is resolutely digital.

C. Music Library

Genesis has a music library, which includes artists such as, Frank Sinatra, Ray Charles, Johnny Cash, Willie Nelson, Chuck Berry, Rod Stewart, and many more. This library can be used to re-score music sound tracks for major motion pictures and television productions, as well as the production of a wide variety of compilation CDs to be sold on television.

The Company is in the process of releasing a Frank Sinatra 4 album set.

D. The Auto-Plus / Dealer Direct Program

The Auto Plus / Dealer Direct Program is a second chance credit and financing program, with Morton Downey Jr. as our national spokesperson. Genesis is organizing a national television and radio campaign that will generate 60,000 qualified auto buyer leads per month, distributed via the Web.

These leads will match the desires of the buyer with the inventory of Dealers. A buyer will place an inquiry through our system. By making this one phone call, the buyer has now made multi-dealers aware of his or her needs, such as selection and price. Multi- Dealers review buyer's specific requests, and match them with their inventory. Leads are approved prior to placement on the Web page. This eliminates
the credit approval process for the dealership. Upon purchase, buyer will receive an unsecured MasterCard with a $500 dollar credit limit. Buy a car get a MasterCard.
The Dealers benefits are endless.

The Dealers are able to receive thousands of qualified leads that match their inventory, which reduces the cost of buying leads in bulk. The Dealer gets the use of the "Buy a Car get a MasterCard" endorsement, in conjunction with major finance companies that have the funds available for impaired credit buyers. Dealers also receive national television and radio advertising, which includes up to 600
commercials per month through the use of Co-op advertising proceeds. There is also the ability for other national sponsors such as oil and tire companies to benefit from this program.

E. The Elite Sports Alliance

There are many organizations of former professional athletes; all of them limited to the sport in which the athlete played. ELITE SPORTS ALLIANCE (ESA) breaks the traditional boundaries, embracing all professional athletes from every sport, both men and women.

ESA has been established to profitably engage in marketing and representing professional retired and active athletes, from all
major sports, through television, infomercials, and Web pages in the sports and entertainment industry. In addition, ESA will promote and utilize the leadership skills of its members to:

1. Conduct and support educational and sports-related programs throughout the United States.

2. Form public and private partnerships with responsible national and
community-based institutions.

3. Develop innovative training, educational, and sports facilities.

4. Create and support programs that provide medical, social, and economic benefits for ESA members.

The purpose of ESA is to provide a new dimension for all professional athletes, retired and active. To that end, we have many programs in which the retired and active professional athlete can participate.

The mission of ESA is to unite active and retired professional athletes under one affiliation, to generate additional income for the players, to establish leadership, and to improve the overall image of athletes and sports in the community.

Business Development - ESA will look at business opportunities that fall outside the licensing or endorsement / public appearance category and will also do preliminary evaluation for each opportunity.

ESA members will have the opportunity to benefit from profit-sharing programs governed by the guidelines established by ESA.

F. Telecommunications Marketing

As a media company, Genesis is always at the forefront of marketing. As a leader in marketing, we have assisted many companies in marketing their products. We have always kept our eyes open for new opportunities for income for Genesis. When some of our sales agents told us of new opportunities in the international long distance telecommunications industry, we decided to investigate. What we
discovered was an industry that mirrored our sales and marketing efforts. As with film and advertising, we bring entertainment to the masses; in the telecommunications industry, we bring connectivity to the masses. With a telecommunications marketing division, we add revenues to our bottom line without large capital output for personnel. As recent contracts have shown, this was a very
good marketing move for Genesis Media Group, Inc.
