Hello! Red Baron,

I addressed a number of concerns regarding the CVIA Scenario in my previous two postings! I closed the last posting directed at Jack by stating that I felt time is of the essence!

If the Reg S for one million dollars that was discovered on Friday had a one year hold period on it--then that I would personally consider it as good news! If in fact it turns out to be immediate then I would considerate it as otherwise!

If there is not clarification via news release on Monday May 11, 1998
on what is going on ! namely, status of the share rollback? compensation package for shareholders ? merger details? initial acquisition details? and other pertinent data/ information?----Then I will most likely not be a CVIA Shareholder at the end of the day's trading!

It appears that there are a few trains of thought as to how some of the shareholders are planning to proceed defending their right's as shareholders!

I am still clinging on to a hope that the shareholders on record as of April 14, 1998 ( the date of the news release announcing the 300 to 1 share roll back intentions) will be compensated for their loyalty and committment to CVIA's efforts!

I will admit that I still find it somewhat intriguing/puzzling that there are still investors out there willing to committ one million dollars in a REG S offering!---I don't know if anyone else looked at it that way or not?

I have had a number of people e-mail me asking what I plan on doing?

And rather than e-mail each of them individually I will respond in this manner!

As I have always tried to remind people , it is important that each and everyone one of you do what is right for you!

It appears that we may have reached a crossroads in the CVIA developments! ( JMO!)

In my opinion, thus far my respect for the WOTD side of the equation is basically non existent!--Thus far I have seen no other option but to suspect that the WOTD Representatives have hidden behind Jack and are putting him in the front of the firing line!

Keep in mind that everyone must do what is right for them!

At this time I do not see it in my overall best interests to make life a living hell for Jack. As I feel he is the only link or hope that I have to getting any appreciable compensation for my CVIA Investment! ( I'm talking about the April 14, 1998, 300 to 1 Share roll back press release!)....

Each of you have to make your own personal decisions!

In my view the way I see it, is do I want to focus my efforts on worrying about what WOTD will be earning from the merger ( assuming there is one?)--or am I more concerned about what I can salvage from my CVIA Investment?

Either way! If there is no news tomorrow ( during market trading hours!)--I will have divested of my original CVIA Shares!

Red Baron! I trust this gives you a sense of how I see things! Please keep in mind it's just my own personal opinion on the situation!

My investment in CVIA did not appreciate in a way that I had hoped or speculated! But! By persuing a potentially costly process will in my opinion only add further to my costs in this investment!

I will keep my eye on it's developments and if in my opinion I see some opportunites to further re-enter the CVIA opportunity--then I will addresss that situation if and when such a situation arises!

Wishing each and everyone of you the wisdom to make the decision that is right for you!

Best Regards,

Wayne J.
