Graphix Zone Inc. develops, produces and markets CD-ROM and on-line interactive entertainment products for the personal computer industry. For the three months ended 9/30/97, revenues fell 80% to $675 thousand. Net loss totalled $298 thousand vs. an income of $303 thousand. Revenues reflect the absence of sales of entertainment software products due to the implementation of the Restructuring. Loss also reflects the absence of a $264 thousand reversal of restructuring expenses.

As of November 18, 1997, it is unlikely that the Company will be able to effect the Restructuring in light of the fact that all efforts to raise capital have failed to date and an insufficient percentage of the unsecured creditors (both in terms of dollar amount and number of creditors) have executed settlement agreements. If the Company cannot raise capital and effect the Restructuring, the Company's options on a going-foward basis decrease significantly. Among the remaining alternatives for the Company are to further investigate its options under the U.S. Bankruptcy Laws, exchange all outstanding equity and debt for new equity and explore dissolution scenarios.

In addition, at any time, the secured creditor may institute a foreclosure proceeding against the Company. If the Company is able to raise additional capital, effect the Restructuring and pursues other business interests, the Company may experience significant fluctuations in future operating results due to a number of economic, competitive and other factors ..........

We Shall See how this new "team" does. This may turn out to be a momentum play but this company is head and shoulders above STEL, in that, it is not bankrupt.

This may just be a momentum play but who knows.
