The following as yet apparently unresolved matters might have some further impact on Mr. Carraway and his management of GRNO, as well as his finances - and on GRNO as well, since disgorgement, in insider trading cases, usually results in the disgorged funds going to the company involved.

The Company was also advised that the staff of the Commission intended to recommend that the Commission bring similar civil charges against certain officers and directors of the Company, including William D. Carraway, a director and Chief Executive Officer of the Company. Possible sanctions that the Commission may seek against Mr. Carraway would include barring him permanently from serving as an officer or director of a public company. The staff also advised the Company that it intends to recommend that the Commission name Mary Ann A. Carraway, a director of the Company, as a "relief defendant," and seek disgorgement of certain amounts from her as a result of certain alleged violations of the securities laws by her husband, William D. Carraway.
