Sweez, Obviously you understand the angst that shareholders feel when Reg. S money is used. On the bright side, a recent SEC rule change, affecting the maturity of Reg. S debentures, will greatly legitimize the use of Reg. S $$$. As of April 27, 1998, Companies which issue such debentures must put a 1-year restriction on them. This will help eliminate the "fast buck" mentality of investors utilizing such investment instruments. Dexx
