dexx, the 8k suggests that the company is having trouble with the Reg S. So much for checking them out first. Getting funding is very difficult for small start-up companies. Reg S is the path of last resort, but sometime it occurs because it's easy for lazy management, doesn't hurt them, and brokered by others. Floorless Reg S is kind of like the telemarketers collecting for kids going to summer camp. The kids get 1/100 of the returns. Sometimes there is no other funding available short of usury. It will be nice when Reg S is outlawed for all securities.
