I will answer as many questions as I can, however, I do not have any
more information than the rest of you. The only thing I have is the numerous
conversations that I have had with Jack Arnold & Keith. I got into CVIA in
the fall of 1997, so, I've been hanging on a while too.

But, here goes:
You stated in your post "We have no evidence that Mr. Charles has any
experience in the oil and tire business. We have evidence of fruits of his
past efforts. Another company he is a Director on (ETC)has a very impressive
record of private placements, worthless warrants, and declining stock price.
This may explain why WOTD is keeping a low profile. I am sure Mr. Arnold is a
very fine person with very good intentions, however I am not so sure of WOTD's
good intentions."

Your statement is true, however, neither do we have any evidence the Mr.
Charles does not have experience. The point is, we do not have the
information yet to make a judgement of this type. Jack obviously was
impressed with what Mr. Charles brought to the table or this deal wouldn't be
going ahead.

I don't have any more facts than you, but according to what has been said
before, this is a "done deal". I have talked with Jack about it and I believe
that he is doing what he thinks is right for CVIA. He has had the advantage
of meeting with WOTD face to face and discussing CVIA's future and WOTD's
future with or without CVIA. CVIA wasn't exactly on the most courted list by
other companies.

I am not trying to blindly say that we should follow Jack into hell, just
saying that I am impressed that 1) he returns phone calls 2) he has spoken to
me each time I have called or left a message 3) is always willing to share
information which does not constitute inside information and foremost 4) he is
trying to make CVIA something more than it currently is.

I just feel that we should give him a chance to bring in this deal all the
way. I may be completely wrong. You all have very valid points. But, like I
said, I have talked with him extensively. I think he is credible. Only time
will prove which one of us is correct. I'm betting on CVIA.

Dave to Matt:

I feel the same as you about contacting Jack myself. Wayne afforded
him some degree of convenience which I'm sure Jack appreciated much
and remembers as better times. Perhaps that allows him to have the
energy to remain patient and answer all shareholder calls up to
the close of the agreement. He also has the thread to monitor which
helps him understand investor opinion shifts.

At least these look like communication advantages.

Once he answers a question and it gets posted here, perhaps he
receives fewer calls because all can read the answer here.
April 14th might have "really" broken his phone if everyone called
seperately!

A far cry from 20 years ago for the investor too.
Though we always want a peek over the next hill.-g-
