Have you ever read Joel Greenblat's book? He has a chapter about his experiences with risk arbitrages of the type you describe. I have talked with John Paulson of Paulson & Co. at length about risk arbitrage and the dangers of the deal falling apart. Despite my personal aversion to the paltry risk/reward ratios these strategies usually engender, may I suggest that you look into the ORU/ED deal. This is an all cash deal, $58.50 for a stock that trades at $53.50 with a 4.5% yield. I know that the downside is $10, but the deal has very little fallout risk. Have a look at similar recent deals and let me know your opinion.
