How do you consider this floorless??? Assuming approximately 21 million shares outstanding, I understand this to mean that a maximum of 1.048 million shares would be issued (4.99%), assuming that 21 million was the amount of shares outstanding when converted. That sure looks like a floor to me!

I've only read through this first page so far, but that's how I see it so far....I'll comment more this weekend.
