Barb- I am well aware of what it says about the I and II option. But if they can only covert into a maximum of "4.99% of the then issued and outstanding common stock of Osicom" Had this clause not been in there, then it would be floorless. This clause is in the very same paragraph that the statements you are referring to are in and therefore cancels out the floorless option as I see it at this point. How can you argue with that? If you can show me how it is floorless, please do! It's simple multiplication to me (.0499 x shares outstanding @ convertime time = total maximum shares to be issued under this deal).

Like I said though, I haven't yet read through the whole filing yet, but judging by the first paragraph it is pretty clear to me that there is a floor here.
