"We are pleased with the trend and results of the fourth quarter and by the Company's return to
profitability for the 1995 fiscal year which was achieved without any reduction in the Company's
continuing product development efforts and while realigning the North American sales and marketing
operations," commented Roni Einav, New Dimension Software's chairman and acting CEO. He
added, "During 1995 New Dimension Software continued to build on its enterprise production and
output management solutions with increased platform support and functionality. The Company also
completed development of a new multi-platform product in the strategic area of security administration.
"The new product has generated a lot of interest in the market and initial sales have already begun. I
believe that this product, CONTROL-SA is just one more indication of the excellent development
abilities of New Dimension Software. I am confident that the product will contribute to the continued
success of our Company over the next few years."

On a geographic basis, New Dimension Software's North American annual revenues increased by 16
percent as compared to revenues in 1994. Annual revenues from Europe and the rest of the world
increased by 44 and 42 percent, respectively. Thirty percent of total new products sales for the fourth
quarter of 1995 were derived from the sale of non- mainframe products.

Dalia Katzman-Prashker, co-chairperson of New Dimension Software Ltd. and president of its North
American subsidiary, commented, "During the fourth quarter, revenues and profitability were achieved
despite the effect of the United States Federal budget difficulties which affected the Company's ability
to close certain sales." Katzman-Prashker continues, "Throughout 1995, New Dimension Software
Inc., the North American subsidiary instituted a plan to reallocate and strengthen its marketing and
sales resources. We have since realigned our seven regional sales offices across the U.S. and Canada
and strengthened the North American sales force through extensive hiring and internal training
programs. We continue to see a market interest in our enterprise production and output management
solutions, which address heterogeneous computing environments including the mainframe. To support
this, the Company recently instituted a nationwide seminar series featuring key customer speakers,
addressing the complex systems management requirements of large and medium-sized organizations."

Einav concluded, "We enter 1996 with a realigned sales force, a more robust technology mix and the
largest number of products in our history. We achieved this together with regaining profitability and
continuing to improve quarterly net income during the past year."
