Vegas, Shareholder rights clauses, as I understand it, is just the opposite of what you cite. Basically it is put in place to keep some large vulture from coming in and stealing your co out from under you. I've seen some that disallow a interested co. from owning too much of the smaller co's stock, thus controlling the vote. I think that is why the board wants to get an outside lock down as to the value of the co., to protect us and them from some outfit taking the co. away for less than its fair market value + a premium. This is just my opinion and could be wrong. Ken W
