I received it also. I think the paragraph you question may be talking about an ESOP plan (though I didn't think it required shareholder approval for that). I believe ESOP means Employer Stock Option Plan and allows employees to buy stock on a payroll deduction basis. It also can allow the terms to be "a certain price by a certain date", kind of like a real option. I also think the meeting is a formality since it is my understanding that most stock is insider held. The preferred stock is a concern as is the dilution possibilities. Not
sure what to make of it all.
