I don't have the Proxy Statement open at this moment ... no hard copy ... but if memory serves, the deal if approved would grant the BoD the authority to effect the reverse split at any time before the 199*9* Annual Meeting, at which point the authority would expire.


I reckon that there are some financial and structuring considerations here that I am totally unaware of. *Creating* corporate finance is not my strong suit.
